Education Law

We assist public, charter and private schools in all areas of operations, including legal compliance, employment issues, facilities and communications with various regulatory agencies, including state and federal departments of education. We also represent our clients before other administrative and regulatory authorities.

We conduct research and obtain training and education on the ever-changing education and special education statutes and case law, including No Child Left Behind, IDEA, Section 504 of the Rehabilitation Act, and AZ LEARNS.

We focus a significant portion of our education practice on charter schools and charter school law, monitoring and fostering compliance with all federal and state education laws and regulations and communications with Indiana authorizors and the Arizona State Board for Charter Schools.

Facilities Financing

We assist charter schools, nonprofit corporations and for-profit entities in obtaining taxable or tax-exempt bond financing or commercial loans, enabling our clients to build or purchase quality facilities. We handle all of the document preparation, coordination, negotiations, legal review and compliance requirements throughout the process, and we can assist with post-financing compliance.

Real Estate Law

We are experienced with a variety of real property transactions, and we assist our school clients with a full range of real estate-related legal and business issues. We regularly handle real property purchases and leases, as well as coordinate and review title insurance, appraisals, land surveys and environmental assessments. Through an arrangement with a real estate brokerage, we can also coordinate marketing or locating real property for school and administrative sites.

Construction Law

Upon purchase, lease or financing of real property, we assist our clients with identifying appropriate architects, contractors and engineers to construct or renovate improvements to real property. We assist with construction document preparation, coordination, negotiations, legal review and contract administration throughout the construction process, from permitting and zoning to final occupancy of the facility.

Nonprofit Corporations

Many of our clients are nonprofit corporations, including tax-exempt nonprofit corporations. We advise our clients regarding federal and state nonprofit laws and regulations and assist with formation and governance of nonprofit corporations, regulatory filings and development and implementation of policies and procedures to protect their nonprofit status.

For-Profit Entities

We represent small to mid-sized for-profit entities, including C corporations, Subchapter S corporations, partnerships, limited liability companies (LLCs), limited partnerships (LLPs) and sole proprietorships. We advise our clients regarding federal and state entity laws and regulations, entity structure, formation, governance, development of entity documents and management and operational issues.
